Hi Saleem,
I'm certainly not an expert on the topic, but I can tell you that I've made quite a few of my own skins so far just by modifying existing ones.

I hate to admit it, but my own site ( http://www.trudeauconsulting.com ) started off with the default DNN "Gray" skin - of course you'd never know it by now because I've hacked the hell out of it.

Just start off by replacing some of the default graphics that you see the skin file (.ascx) is using - I totally bypassed the .html route because the ascx seemed easy enough to understand, and I didn't want to go messing around with the xml file. Set up a sandbox portal, rename a skin file, upload it to your server and start playing around with it.

If you're -really- new, then don't get too involved with changing the panes around or adding new panes - getting them to behave can be a challenge. See if you can just change the colors (using CSS classes) and images, it'll all start to make sense once you work with the code enough.
